NOTICE OF
APPLICATION FOR MERGER AND
ACQUISITION OF
PREMIER FINANCIAL CORP. BY
WESBANCO, INC.
Notice is hereby given by the Applicant, Wesbanco, Inc. (“Wesbanco”), One Bank Plaza, Wheeling, West Virginia, 26003, that it will apply to the Federal Deposit Insurance Corporation for prior approval to engage in a merger transaction with Premier
Financial Corp. (“Premier”), 601 Clinton Street, Defiance, OH 43512, with Wesbanco
being the surviving entity thereof. As part of the transaction, it is anticipated that Premier Bank, a wholly-owned, federally- insured, depository institution subsidiary of Premier, will be merged with and into Wesbanco Bank, Inc., a wholly-owned, federally- insured, depository institution subsidiary of Wesbanco, with Wesbanco Bank, Inc. being the survivor thereof. Any person wishing to comment on this application may file his or her comments in writing with the regional director of the Federal Deposit Insurance Corporation at the
appropriate FDIC office located at 10 Tenth St., N.E., Suite 900, Atlanta, GA 30309, not later than October 24, 2024. The nonconfidential portions of the application are on file
at the appropriate FDIC office and are available for inspection during regular business hours. Photocopies of the nonconfidential portions of the application will be made available upon request. The public is also invited to submit written comments regarding this Application to the West Virginia Division of Financial Institutions.
