NOTICE OF SPECIAL MEETING OF THE BOARD OF DIRECTORS AND MEMBERS OF WEST VIRGINIA STEEL FUTURES, INC. Notice is hereby given that the Board of Directors and the Members of West Virginia Steel Futures, Inc., a newly formed West Virginia nonprofit corporation (the “Corporation”) will hold a special meeting at the office of Spilman Thomas & Battle, PLLC, located at 300 Kanawha Blvd., East, Charleston, West Virginia 25301, on Thursday, June 3, 2021 at 10:00 a.m. The purpose of the special meeting will be to elect officers; authorize the opening of a bank account; ratify the actions of the incorporator; consider the adoption of resolutions pertinent to the organization of the Corporation; consider the adoption of resolutions approving the merger of the Corporation with West Virginia Steel Futures, Inc., a dissolved West Virginia non-profit corporation; consider the adoption of resolutions approving the dissolution and liquidation of the Corporation, including the disposition of the Corporation’s assets upon its dissolution; and put to a vote of the board of directors and members proposed actions arising out of the foregoing.
