NOTICE OF SPECIAL MEETING OF SHAREHOLDERS FOR
CENTRAL PRINTING COMPANY
The undersigned hereby provides Notice of Special Meeting of Shareholders for Central Printing Company to be held on September 24, 2021 at 2:00 p.m. at the office of William D. Stover, Attorney at Law, 207 South Heber Street (First Floor), Beckley, West Virginia, to consider and act upon the following:
1. Amend Article VI of the Bylaws of Central Printing Company to reduce number of directors to one for its Board and thereby remain in compliance with minimum number of directors for a business corporation. W.Va. Code 31D-8-803.
2. Amend Article IX of the Bylaws for Central Printing Company to delete the following officer positions: vice-president, treasurer, and general manager, and leave only the office of President and Secretary, as authorized officer position for the Company and remain in compliance with officers required for a business corporation. W.Va. Code 31D-8-840.
3. Elect a person to serve on the Board of Directors.
4. Elect a person or persons to serve as President and Secretary for the Company.
5. Authorize the officers of the Company to take such actions as needed to pursue the sale of real estate and improvements thereon referred to as Lot 283 H-W-C Addition, located at 205 Central avenue, Beckley, West Virgina.
6. Conduct such other business as authorized by law for a business corporation.
