NOTICE OF PUBLIC HEARING ON
TRANSFER OF CONTROL
OF CABLE TELEVISION FRANCHISE

On or about June 5, 2015, and updated by correspondence dated August 11, 2015, Cequel Corporation (”Cequel”), the parent of Cequel III Communications II, LLC dba Suddenlink Communications (”Suddenlink”), filed an application for the transfer of control of its cable franchise to Altice S.A. (as subsequently reorganized to become Altice N.V.) (”Altice”).

The Rules and Ordinance Committee of the City Council of Elkins (”Committee”) will hold a public hearing on September 24, 2015 at 6:00 p.m., in the Council Chambers, Elkins City Hall, 401 Davis Avenue, Elkins, West Virginia, for the purpose of taking public comments and objections, if any, relating to the proposed transfer of control of Suddenlink’s cable franchise to Altice. The Agenda of the hearing shall consist of the following:

1. Statements by Suddenlink and Altice as to the public benefit from the transfer; the ability of Altice to offer safe, adequate and reliable service at a reasonable cost to subscribers; the financial responsibility of Altice; the technical and operational ability of Altice to perform efficiently the service for which authority is requested; a description of Altice’s plan to provide for the expansion of the facilities and cable services consistent with the reasonable future cable-related community needs and interests; and other justifications for the City approving the transfer of control of such franchise.

2. Statements by members of the public either in support of, or objecting to, the proposed transaction.

3. Questions by Committee members and others of Suddenlink, Altice and other participants of the hearing, as to the matters to be considered by the Committee.

4. Public vote by the Committee on the matter of the proposed transfer of control of Suddenlink’s cable franchise to Altice.

A copy of the transfer of control application is available for public inspection at the Office of the Clerk of the City of Elkins, City Hall, 401 Davis Avenue, Elkins, West Virginia, during normal weekday business hours of 8:00 a.m. to 4:30 p.m.
