NOTICE OF PUBLIC HEARING TO BE PUBLISHED IN THE HERALD- DISPATCH ONCE A WEEK FOR TWO SUCCESSIVE WEEKS ON FRIDAY, AUGUST 16, AND FRIDAY, AUGUST 23, 2024 THE CITY OF HUNTINGTON NOTICE OF PUBLIC HEARING REGARDING TAX INCREMENT FINANCING BOND AUTHORIZING ORDINANCE (DOWNTOWN PROJECT NO. 3) A public hearing will be held at a regular meeting of the City Council of The City of Huntington (the “City”) on MONDAY, AUGUST 26, 2024, at 7:30 p.m. prevailing time (or as soon thereafter on such date as the matter may be heard), at the Marshall Health Network Arena, Convention Center, 8th Street and 3rd Avenue, Huntington, West Virginia, and at such hearing any person interested may appear before the City Council and present comments, protests and suggestions. All comments, protests and suggestions shall be heard by the City Council and it shall then take such actions as it shall deem proper in the premises regarding an ordinance entitled: AN ORDINANCE AUTHORIZING THE ISSUANCE OF NOT MORE THAN $10,000,000 AGGREGATE PRINCIPAL AMOUNT OF TAX INCREMENT REVENUE AND REFUNDING BONDS, IN ONE OR MORE SERIES (THE “BONDS”), OF THE CITY OF HUNTINGTON (THE “CITY”); AUTHORIZING THE USE OF THE PROCEEDS OF THE BONDS TO REFUND THE CITY’S OUTSTANDING TAX INCREMENT REVENUE AND REFUNDING BONDS, SERIES 2019 (DOWNTOWN PROJECT NO. 2) (THE “SERIES 2019 BONDS”), TO FINANCE COSTS OF THE DESIGN, ACQUISITION, CONSTRUCTION AND EQUIPPING OF PUBLIC IMPROVEMENTS WITHIN, OR FOR THE BENEFIT OF, THE CITY OF HUNTINGTON DOWNTOWN DEVELOPMENT EDEVELOPMENT DISTRICT NO. 1 (THE “TIF DISTRICT”) AND ALL NECESSARY APPURTENANCES AND RELATED FACILITIES, OTHER EXPENSES AND COSTS RELATED THERETO AND TO THE ISSUANCE OF THE BONDS; AUTHORIZING THE EXECUTION AND DELIVERY OF AN INDENTURE OF TRUST, A BOND PURCHASE AGREEMENT, A PRELIMINARY LIMITED OFFERING MEMORANDUM OR PRELIMINARY STATEMENT AND A LIMITED OFFERING MEMORANDUM OR OFFICIAL STATEMENT WITH RESPECT TO THE BONDS, A CONTINUING DISCLOSURE AGREEMENT AND OTHER DOCUMENTS, INSTRUMENTS, AGREEMENTS AND CERTIFICATES IN CONNECTION WITH THE ISSUANCE OF THE BONDS AND THE UNDERTAKING OF SUCH PUBLIC IMPROVEMENTS; AUTHORIZING AND DIRECTING THE EXECUTION AND DELIVERY OF SUCH BONDS; PROVIDING PARAMETERS FOR THE PRINCIPAL AMOUNTS, MATURITIES, INTEREST RATES AND OTHER TERMS OF SUCH BONDS AND AUTHORIZING THE MAYOR OF THE CITY TO APPROVE, EXECUTE AND DELIVER A BOND PURCHASE AGREEMENT RELATING TO THE FINAL TERMS OF THE BONDS; APPOINTING A TRUSTEE, REGISTRAR, PAYING AGENT AND OTHER PARTICIPANTS IN THE FINANCING; AND AUTHORIZING THE TAKING OF ALL OTHER ACTIONS RELATING TO THE REFUNDING OF THE SERIES 2019 BONDS, THE DESIGN, ACQUISITION, CONSTRUCTION AND EQUIPPING OF PUBLIC IMPROVEMENTS WITHIN, OR FOR THE BENEFIT OF, THE TIF DISTRICT, THE ISSUANCE OF SUCH BONDS AND RELATED MATTERS. The above-entitled Ordinance (the “Ordinance”) has been adopted on first reading by the Council of the City at a meeting of Council held on Monday, August 12, 2024. The above-quoted title of the Ordinance describes generally the contents thereof and the actions contemplated thereby. The City contemplates enactment of said Ordinance authorizing the issuance by the City of Tax Increment Revenue and Refunding Bonds (the “Bonds”) in an aggregate principal amount not to exceed $10,000,000, for the benefit of The City of Huntington Downtown Development edevelopment District No. 1 (the “TIF District”); authorizing the use of the proceeds of such Bonds to be used for the purposes of (i) refunding and redeeming in full the Series 2019 Bonds, (ii) financing costs of the design, acquisition, construction and equipping of Project Plan No. 3 for the TIF District, (iii) funding a reserve fund for the Bonds, (iv) paying capitalized interest on the Bonds, if necessary, and (v) costs of issuance of the Bonds and related costs. The Bonds shall be payable from the tax increment revenues generated in the TIF District, certain funds and accounts established with a bond trustee in connection with the Bonds, and unexpended proceeds of the Bonds.
