PUBLIC FINANCE AUTHORITY NOTICE OF PUBLIC HEARING WITH RESPECT TO NOT TO EXCEED $66,000,000 MULTIFAMILY HOUSING REVENUE BONDS (PATRIOT SERVICES GROUP – WEST VIRGINIA PORTFOLIO PROJECT) SERIES 2020 NOTICE IS HEREBY GIVEN that on Thursday, November 19, 2020, a public hearing as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), and the provisions of Section 66.0301, 66.0303 and 66.0304 of the Wisconsin Statutes, as amended (the “Act”), and an Amended and Restated Joint Exercise of Powers Agreement Relating to the Public Finance Authority, dated as of September 28, 2010 (the “Agreement”),will be held by the Public Finance Authority (the “Authority”) with respect to the proposed issuance pursuant to a plan of financing by the Authority of its revenue bonds in one or more series and in the aggregate principal amount not to exceed $66,000,000 (the “Bonds”). The Bonds are expected to be issued pursuant to Section 66.0304 of the Wisconsin Statutes, as amended, and the proceeds from the sale of the Bonds will be loaned to WW 2020 Property Holdings, LLC, a Delaware limited liability company (the “Borrower”), whose sole member is Patriot Services Group, Inc., formerly known as Invest in America’s Veterans Foundation, Inc., a Florida non-profit corporation and an organization described in Section 501(c)(3) of the Code. The proceeds of the Bonds will be loaned to the Borrower for the purpose of (A) financing the acquisition, rehabilitation and equipping of an existing residential rental housing facilities containing approximately 987 apartment units for persons of low and moderate income located at 22 separate sites in Kanawha County and Cabell County, West Virginia (the “Project”), (B) financing capital expenditures at the Project, (C) funding certain reserves and (D) paying certain costs of issuance of the Bonds. The Project will be owned and operated by the Borrower. The Bonds will be special limited obligations of the Authority payable solely from the loan repayments to be made by the Borrowers to the Authority, and certain funds and accounts established by the bond indenture for the Bonds. The hearing will commence at 5:00 p.m. or as soon thereafter as the matter can be heard and will be held at the Kanawha County Commission’s Courtroom in the Kanawha County Courthouse. The hearing will provide a reasonable opportunity to be heard for persons wishing to express their views on the merits of the Apartments, their location, the issuance of the Bonds and related matters. Oral comments will be limited to 10 minutes per speaker. A person wishing to speak at the hearing will be asked to provide his or her name, address and the person(s) or entity(ies) he or she represents, if any, prior to speaking. Written comments will be accepted by the Kanawha County Commission at P.O. Box 3627, Charleston, WV 25336, but must be received by the close of the hearing.
