NOTICE OF PUBLIC HEARING ON THE
THE CITY OF
WHEELING BOND
ORDINANCE
A public hearing will be held on the following entitled Ordinance at a regular meeting of the Council of The City of Wheeling (the “City”) to be held on Tuesday, July 7, 2015, at Noon at the City Hall, 1500 Chapline Street, Wheeling, West Virginia, and at such hearing any person interested may appear before the City and present protests, and all protests and suggestions shall be heard by the City and it shall then take such actions as it shall deem proper in the premises upon an Ordinance entitled:
AN ORDINANCE AUTHORIZING THE REFUNDING OF THE ISSUER’S OUTSTANDING COMBINED WATERWORKS AND SEWERAGE SYSTEM REVENUE BONDS, SERIES 2006 A AND THE FINANCING OF THE COST THEREOF, NOT OTHERWISE PROVIDED, FUNDING A DEBT SERVICE RESERVE FUND AND PAYING COSTS OF ISSUANCE AND RELATED COSTS, THROUGH THE ISSUANCE OF COMBINED WATERWORKS AND SEWERAGE SYSTEM REFUNDING REVENUE BONDS, SERIES 2015 A (BANK QUALIFIED) OF THE CITY IN THE AGGREGATE PRINCIPAL AMOUNT OF NOT MORE THAN $10,000,000; AND COMBINED WATERWORKS AND SEWERAGE SYSTEM REFUNDING REVENUE BONDS, SERIES 2015 B (TAXABLE) OF THE CITY IN THE AGGREGATE PRINCIPAL AMOUNT OF NOT MORE THAN $3,000,000; PROVIDING FOR THE RIGHTS AND REMEDIES OF, AND THE SECURITY FOR, THE REGISTERED OWNERS OF SUCH BONDS; AUTHORIZING THE EXECUTION AND DELIVERY OF A TAX CERTIFICATE, AN OFFICIAL STATEMENT, A BOND PURCHASE AGREEMENT, A CONTINUING DISCLOSURE AGREEMENT, AN ESCROW AGREEMENT AND OTHER DOCUMENTS; AUTHORIZING THE SALE AND PROVIDING FOR THE TERMS AND PROVISIONS OF SUCH BONDS; AND ADOPTING OTHER PROVISIONS RELATING THERETO.
The above-quoted title of the Ordinance describes generally the contents thereof and the purposes of the Bonds contemplated thereby. The City contemplates the issuance of the Bonds described in the Ordinance. The proceeds of the Bonds will be used to (i) to finance the costs of advance refunding the Issuer’s Series 2006 A Bonds, (ii) to fund the Series 2015 A Bonds Reserve Account, and (iii) to pay certain costs of issuance of the Series 2015 A Bonds and related costs. The Bonds are payable from the revenues derived from the System. No taxes may at any time be levied for the payment of the Bonds or the interest thereon.
The above-entitled Ordinance was adopted by the Council of The City of Wheeling on June 16, 2015. A certified copy of the above-entitled Ordinance is on file with the City Clerk for review by interested parties during regular office hours.
Following the public hearing, the Council of The City of Wheeling intends to enact the Ordinance upon final reading.
A second public hearing will be held on the following-entitled Resolution and Order at a regular meeting of the Council of The City of Wheeling to be held on Tuesday, July 7, 2015, at 12 Noon at the City Hall, 1500 Chapline Street, Wheeling, West Virginia, and at such hearing any person interested may appear before the City and present protests, and all protests and suggestions shall be heard by the City and it shall then take such actions as it shall deem proper in the premises upon an Ordinance entitled:
RESOLUTION AND ORDER OF THE CITY COUNCIL OF THE CITY OF WHEELING AUTHORIZING THE REFUNDING OF THE CITY OF WHEELING CIVIC CENTER GENERAL OBLIGATION BONDS, SERIES 2003, OUTSTANDING IN THE AGGREGATE PRINCIPAL AMOUNT OF APPROXIMATELY $1,755,000, AND THE ISSUANCE FOR SUCH PURPOSE OF NOT TO EXCEED $2,200,000 IN AGGREGATE PRINCIPAL AMOUNT OF THE CITY OF WHEELING CIVIC CENTER GENERAL OBLIGATION REFUNDING BONDS, SERIES 2015 (BANK QUALIFIED); AUTHORIZING AND APPROVING A BOND PURCHASE AGREEMENT, AN ESCROW AGREEMENT, A PRELIMINARY OFFICIAL STATEMENT, AN OFFICIAL STATEMENT, A CONTINUING DISCLOSURE AGREEMENT AND OTHER INSTRUMENTS RELATING TO THE REFUNDING BONDS IN SUCH FORMS AS SHALL BE APPROVED BY THE MAYOR; APPOINTING A REGISTRAR, A PAYING AGENT, AN ESCROW AGENT AND A VERIFICATION AGENT; PROVIDING FOR THE DISPOSITION OF THE PROCEEDS OF THE REFUNDING BONDS AND FUNDS ON DEPOSIT WITH THE WEST VIRGINIA MUNICIPAL BOND COMMISSION; AND MAKING OTHER PROVISIONS AS TO THE REFUNDING BONDS AND THE REFUNDING OF THE PRIOR BONDS.
The above-quoted title of the Ordinance describes generally the contents thereof and the purposes of the Bonds contemplated thereby. The City contemplates the issuance of the Bonds described in the Ordinance. The proceeds of the Bonds will be used to refund the Issuer’s Civic Center General Obligation Bonds, Series 2003, currently outstanding in the aggregate principal amount of $1,755,000 and to pay costs of issuance in connection therewith.
The above-entitled Resolution and Order was adopted by the Council of The City of Wheeling on June 16, 2015. A certified copy of the above-entitled Ordinance is on file with the City Clerk for review by interested parties during regular office hours.
Following the public hearing, the Council of The City of Wheeling intends to enact the Ordinance upon final reading.
