AND THE FAYETTE COUNTY COMMISSION

Joint Application for consent and approval of
an acquisition of utility assets and related arrangements and
for the issuance of an Interim Declaratory Order.

NOTICE OF FILING
On November 5, 2025, West Virginia-American Water Company ("Company") and the County Commission of Fayette County ("County Commission," and together, the "Applicants") filed with the Public Service Commission of West Virginia ("Commission") a joint application ("Joint Application") for Commission consent and approval of an acquisition of utility assets and related arrangements ("Acquisition") of the water system assets of the County Commission, to wit, the Armstrong Public Service District ("Armstrong") wastewater utility assets (the "Armstrong Wastewater System"), the Kanawha Falls Public Service District ("Kanawha Falls") wastewater utility assets (the "Kanawha Falls Wastewater System"), the Kanawha Falls water utility assets (the "Kanawha Falls Water System"), and the Page-Kincaid Public Service District ("Page-Kincaid," collectively with Armstrong and Kanawha Falls the "Districts," and, individually, each a "District") wastewater utility assets (the "Page-Kincaid Wastewater System," collectively with the Armstrong Wastewater System, the Kanawha Falls Wastewater System, and the Kanawha Falls Water System, the "System"). Applicants also seek the issuance of an Interim Declaratory Order.

Following the Acquisition, Armstrong's wastewater assets will be owned and operated by the Company subject to Commission jurisdiction and regulation. From and after the closing of the Acquisition, Armstrong's former customers will be customers of the Company. The Agreement provides that the rates and charges to be charged to Armstrong's former customers on and after closing of the Acquisition (Closing) will be phased in over a 36-month period to match the Company's statewide base rates as follows:

The Agreement provides that the rates and charges to be charged to Kanawha Falls' former customers on and after closing of the Acquisition (Closing) will be phased in over a 36-month period to match the Company's statewide base rates as follows:

Following the Acquisition, Page-Kincaid's assets will be owned and operated by the Company subject to Commission jurisdiction and regulation. From and after the closing of the Acquisition, Page-Kincaid's former customers will be customers of the Company. The Agreement provides that the rates and charges to be charged to Page-Kincaid's former customers on and after closing of the Acquisition (Closing) will be phased in to match the Company's statewide base rates as follows:

Qualified low-income customers will have access to the Company's low-income discounted rates. If the Acquisition is approved, the impact of the phase-in of the present Company rates on the average residential, commercial, industrial, and other public authority customers would be as follows:

These amounts do not reflect amounts associated with municipal B&O or excise taxes. The Company's current base rates, Distribution System Improvement Charge ("DSIC") rates, and Wastewater System Improvement Charge ("WSIC") rates are subject to change, potentially modifying the percentage and dollar amounts shown above.

The Joint Application is on file with and available for public inspection at the Commission, 201 Brooks Street, Charleston, West Virginia, and is available online at the Commission website (www.psc.state.wv.us).

Anyone desiring to intervene or protest should file a written request to intervene or protest no later than twenty (20) days following the date of this notice, unless such period is otherwise modified by Commission Order. Failure to timely intervene may affect your right to participate in the proceeding. All requests to intervene should briefly state the reason for the request to intervene and comply with the rules on intervention set forth in the Commission's Rules of Practice and Procedure. All written comments, protests and requests to intervene should state the case name and number and be addressed to Executive Secretary, P.O. Box 812, Charleston, West Virginia 25323.

The Public Service Commission has scheduled an evidentiary hearing on March 27, 2026, at 9:30 a.m. in the Howard M. Cunningham Hearing Room, Public Service Commission Building, 201 Brooks Street, Charleston, West Virginia.
