NOTICE OF PUBLIC HEARING THE CITY OF HUNTINGTON NOTICE OF PUBLIC HEARING REGARDING SPECIAL DISTRICT EXCISE TAX REVENUE BOND AUTHORIZING ORDINANCE (THE CITY OF HUNTINGTON ECONOMIC OPPORTUNITY DEVELOPMENT DISTRICT) A public hearing will be held at a regular meeting of the City Council of The City of Huntington (the "City") on May 11, 2026, at 7:30 p.m. (or as soon thereafter on such date as the matter may be heard), in City Council Chambers located at City Hall, 800 5th Avenue, Huntington, West Virginia, and at such hearing any person interested may appear before the City Council and present comments, protests and suggestions. All comments, protests and suggestions shall be heard by the City Council and it shall then take such actions as it shall deem proper in the premises regarding an ordinance entitled: AN ORDINANCE AUTHORIZING THE ISSUANCE OF NOT MORE THAN $10,000,000 AGGREGATE PRINCIPAL AMOUNT OF SPECIAL DISTRICT EXCISE TAX REVENUE BONDS, IN ONE OR MORE SERIES, ON A TAX-EXEMPT OR TAXABLE BASIS (THE "BONDS"), OF THE CITY OF HUNTINGTON (THE "CITY"); AUTHORIZING THE USE OF THE PROCEEDS OF THE BONDS TO FINANCE COSTS OF THE DESIGN, ACQUISITION, CONSTRUCTION AND EQUIPPING OF CAPITAL IMPROVEMENTS WITHIN, OR FOR THE BENEFIT OF, THE CITY OF HUNTINGTON ECONOMIC OPPORTUNITY DEVELOPMENT DISTRICT (THE "EXCISE TAX DISTRICT") AND ALL NECESSARY APPURTENANCES AND RELATED FACILITIES, OTHER EXPENSES AND COSTS RELATED THERETO AND TO THE ISSUANCE OF THE BONDS; AUTHORIZING THE EXECUTION AND DELIVERY OF A PROJECT DEVELOPMENT AGREEMENT, AN INDENTURE OF TRUST, A BOND PURCHASE AGREEMENT AND OTHER DOCUMENTS, INSTRUMENTS, AGREEMENTS AND CERTIFICATES IN CONNECTION WITH THE ISSUANCE OF THE BONDS AND THE UNDERTAKING OF SUCH CAPITAL IMPROVEMENTS; AUTHORIZING THE DISTRIBUTION OF A PRELIMINARY OFFICIAL STATEMENT WITH RESPECT TO THE BONDS, IF NECESSARY, AND THE EXECUTION, DELIVERY AND DISTRIBUTION OF AN OFFICIAL STATEMENT, IF NECESSARY; AUTHORIZING AND DIRECTING THE EXECUTION AND DELIVERY OF SUCH BONDS; PROVIDING PARAMETERS FOR THE PRINCIPAL AMOUNTS, MATURITIES, INTEREST RATES AND OTHER TERMS OF SUCH BONDS AND AUTHORIZING THE MAYOR OF THE CITY TO APPROVE, EXECUTE AND DELIVER A BOND PURCHASE AGREEMENT RELATING TO THE FINAL TERMS OF THE BONDS; APPOINTING A TRUSTEE, REGISTRAR, PAYING AGENT AND OTHER PARTICIPANTS IN THE FINANCING; AND AUTHORIZING THE TAKING OF ALL OTHER ACTIONS RELATING TO THE DESIGN, ACQUISITION, CONSTRUCTION AND EQUIPPING OF CAPITAL IMPROVEMENTS WITHIN, OR FOR THE BENEFIT OF, THE EXCISE TAX DISTRICT, THE ISSUANCE OF SUCH BONDS AND RELATED MATTERS. The above-entitled Ordinance (the "Ordinance") has been adopted on first reading by the Council of the City at a meeting of Council held on Monday, April 27, 2026. The above-quoted title of the Ordinance describes generally the contents thereof and the actions contemplated thereby. The City contemplates enactment of said Ordinance authorizing the issuance by the City of special district excise tax revenue bonds (the "Bonds") in an aggregate principal amount not to exceed $10,000,000, for the benefit of The City of Huntington Centre Economic Opportunity Development District (the "Excise Tax District"); authorizing the use of the proceeds of such Bonds to be used for the purposes of (i) financing a portion of the costs of the design, acquisition, construction and equipping of capital improvements within the Excise Tax District constituting Development Expenditures as defined by the Act (the "Project"), including up to $4,000,000 in costs of the design, permitting, acquisition, construction and equipping of certain stormwater collection, sanitary sewerage and other utility and infrastructure improvements in connection with the planned construction of a Kroger grocery store within the Excise TIF District (the "Kroger Project"); (ii) funding or partially funding a reserve fund for the Bonds, if necessary, (iii) paying capitalized interest on the Bonds, if necessary, and (iv) paying costs of issuance of the Bonds and related costs. The Bonds shall be payable from the net excise tax revenues generated in the Excise Tax District, certain funds and accounts established with a bond trustee in connection with the Bonds, and unexpended proceeds of the Bonds.
