Notice of Proposed Bank Merger
Notice is hereby given that Citizens Bank of West Virginia, Elkins, West Virginia (“Citizens”), has made application to the Federal Deposit Insurance Corporation (“FDIC”) for its approval of the Agreement and Plan of Merger and the transactions contemplated thereby entered into by and between Citizens, CB Merger Bank, an uninsured phantom bank chartered under the laws of the State of West Virginia, solely for the purposes of facilitating the transactions, and a wholly-owned subsidiary of Citizens, and Miners and Merchants Bank, Thomas, West Virginia (“MMB”) whereby Merger Bank will merge with and into MMB, with MMB surviving the merger as a wholly-owned subsidiary of Citizens, followed immediately by the merger of MMB with and into Citizens, with Citizens surviving the merger.
Following the consummation of the transactions, Citizens will continue operating as a West Virginia state chartered commercial bank retaining all of its existing branch locations, and MMB’s main office located in Thomas, West Virginia and two (2) branch offices located in Oakland, Maryland and Bayard, West Virginia and will become branch locations of Citizens.
The application has been filed pursuant to the Interagency Bank Merger Act. Any person wishing to comment on this application may file their comments in writing with the Regional Director of the FDIC at the Atlanta Regional Office, located at 10 10th Street NE, Suite 900, Atlanta, Georgia 30309-3849. The public is also invited to submit written comments regarding this application to the West Virginia Board of Banking and Financial Institutions, which may be addressed to the West Virginia Commissioner of Banking, 900 Pennsylvania Avenue, Suite 306, Charleston, West Virginia 25302. Comments must be received not later than October 17, 2025. The period may be extended by the Regional Director for good cause.
The non-confidential portions of the application are on file at the appropriate FDIC office and are available for public inspection during regular business hours. Photocopies of the non-confidential portion of the application file will be made available upon request.
