NOTICE OF SPECIAL
MEETING
MINERAL WELL PUBLIC SERVICE DISTRICT

Notice is hereby given that a special meeting of the Public Service Board of Mineral Wells Public Service District (the “District”) will be held on Thursday, February 22, 2024, at 2:00 p.m. at the District’s offices located at 53 Fox Run Drive, Mineral Wells, West Virginia.
The purposes for which this meeting is being held and the agenda for such meeting will include the following:
1. Consideration of and action on Resolution authorizing the issuance by Mineral Wells Public Service District (the “District”) of not more than $8,523,150 in aggregate principal amount of its sewer revenue bonds (the “Bonds”) to (i) refund the District’s Bond Anticipation Note, Series 2019; (ii) permantently finance a portion of the costs of the design, acquisition, construction and equipping of certain additions, betterments and improvements to the existing public sewerage facilities of the District, including without limitation, replacement of several individual grinder pump stations, increasing the capacity of three existing lift stations, additional headworks at the wastewater treatment plant and associated collection system improvements, and all other necessary appurtenances to complete the construction of the project and related facilities (the “Project”); and (iii) pay costs of issuing the Bonds and related costs.
2. Consideration of and action on Supplemental Resolution supplementing and amending the Resolution described above relating to the Bonds.
3. Consideration of and action on resolution authorizing and approving the first requisition of the proceeds of the Bonds and other funding sources.
Possible other actions relating to the Bonds and/or the Project.
