NOTICE OF COMMENT PERIOD On March 18, 2015, the Public Service Commission promulgated proposed amendments to the Rules Governing Certification and Operation of Telecommunications Relay Service (TRS), 150 C.S.R. Series 21 (TRS Rules). The proposed revisions would combine the limited-term and permanent certificate options into a single certificate issued for an initial term of five years. The Commission also proposes to streamline the billing structure required in certificate applications, modify the billing rates and edit the current rules for style and clarity. NOTICE OF PUBLIC HEARING

TO RESIDENTS OF THE COUNTY OF MONONGALIA
AND OTHER PERSONS INTERESTED –
ENACTMENT OF ORDINANCE AND ISSUANCE OF
REFUNDING AND IMPROVEMENT REVENUE BONDS FOR
MONONGALIA COUNTY GENERAL HOSPITAL COMPANY

NOTICE IS HEREBY GIVEN, that on March 17, 2015, the MONONGALIA COUNTY BUILDING COMMISSION (the "Building Commission") adopted a bond authorizing ordinance (the "Ordinance") approving the issuance of its Refunding and Improvement Revenue Bonds (Monongalia Health System Obligated Group), Series 2015 (the "Bonds"), pursuant to Chapter 8, Article 33, Chapter 8, Article 16 and Chapter 13, Article 2E of the Code of West Virginia, 1931, as amended, to assist Monongalia Health System, Inc., a West Virginia nonprofit corporation (the "System"), and Monongalia County General Hospital Company, a West Virginia nonprofit corporation of which the System is the sole member (the "Hospital Company"), in financing (i) the refunding and redemption on July 1, 2015 (the "Refunding") of all of the Building Commission’s Hospital Revenue Bonds (Monongalia General Hospital) Series 2005A (the "Series 2005A Bonds"), (ii) a portion of the cost of acquisition, construction and installation of certain capital improvements to the facilities known as "Monongalia General Hospital" (the "Hospital Facilities"), including but not limited to the renovation of the Hospital Facilities’ six (6) general operating rooms, two (2) open heart operating rooms and cysto procedures room (the "Projects"); (iii) a debt service reserve fund for the Bonds if applicable; and (iv) costs incurred in connection with the Bonds and the Refunding. The Series 2005A Bonds financed or refinanced capital improvements at the Hospital Facilities, including but not limited to the intensive care unit, medical/surgical bed, emergency department, imaging department, endoscopy service areas, certain outpatient areas and other support functions, and the Refunding is to effect debt service savings. The Hospital Facilities are located, and the Projects will be located, at Monongalia General Hospital, 1200 J.D. Anderson Drive, Morgantown, Monongalia County, West Virginia 26505. The Hospital Company is the owner, operator or manager of Monongalia General Hospital located at such address, which real property is leased by the Hospital Company from the Building Commission.

The Bonds shall not constitute an indebtedness of the Building Commission, but shall be special, limited obligations of the Building Commission, payable solely from the property, revenues and moneys pledged therefor by the System, the Hospital Company and Mon Elder Services, Inc., which is a member of an obligated group with the System and the Hospital Company (together, the "Obligated Group"), and neither the Bonds nor the interest thereon, nor any charge in connection therewith, shall be a charge against the general credit or taxing powers of the Building Commission or Monongalia County, nor shall the same ever constitute and indebtedness of the Building Commission or Monongalia County within the meaning of any constitutional provision or statutory limitations.

Pursuant to both Chapter 8 of the Code of West Virginia and Chapter 147 of the Internal Revenue Code, a public hearing will be held on the Ordinance, the title of which is set forth below, and on the issuance of the Bonds, the Refunding, the projects refinanced thereby, and the Projects before the members of Building Commission on behalf of The County Commission of Monongalia County, West Virginia (the "County Commission") at the Monongalia County Commission meeting room, located at the Monongalia County Courthouse, 243 High Street, Morgantown, West Virginia, on Tuesday, March 31, 2015, at 5:30 p.m., prevailing time, and any person or persons interested may appear before the Building Commission to present written or oral protests, comments and suggestions and be heard as to the proposed issue of Bonds, the Refunding, the projects being refinanced with the proceeds of the Bonds, and the Projects to be financed with the proceeds of the Bonds, and as to whether or not the Ordinance shall be put into effect:

ORDINANCE AUTHORIZING AND DIRECTING THE ISSUANCE OF NOT TO EXCEED $58,000,000 IN AGGREGATE PRINCIPAL AMOUNT OF ONE OR MORE SERIES OF MONONGALIA COUNTY BUILDING COMMISSION REFUNDING AND IMPROVEMENT REVENUE BONDS (MONONGALIA HEALTH SYSTEM OBLIGATED GROUP), SERIES 2015, THE PROCEEDS OF WHICH BONDS WILL BE USED, TOGETHER WITH OTHER FUNDS AVAILABLE THEREFOR, (I) TO REFUND THE OUTSTANDING MONONGALIA COUNTY BUILDING COMMISSION HOSPITAL REVENUE BONDS (MONONGALIA GENERAL HOSPITAL) SERIES 2005 A, PREVIOUSLY USED TO FINANCE OR REFINANCE ADDITIONS, RENOVATIONS, IMPROVEMENTS AND EQUIPMENT FOR MONONGALIA GENERAL HOSPITAL, (II) TO FINANCE THE ACQUISITION, CONSTRUCTION AND INSTALLATION OF CERTAIN CAPITAL IMPROVEMENTS TO MONONGALIA GENERAL HOSPITAL, (III) TO FUND A DEBT SERVICE RESERVE FUND, IF APPLICABLE, AND (IV) TO PAY COSTS INCURRED IN CONNECTION WITH SUCH BONDS AND SUCH REFUNDING; AUTHORIZING THE EXECUTION AND DELIVERY OF ONE OR MORE BOND TRUST INDENTURES FOR SUCH BONDS, ONE OR MORE SUPPLEMENTS TO THE LEASE AGREEMENT WITH RESPECT TO MONONGALIA GENERAL HOSPITAL, AND ONE OR MORE DEEDS OF TRUST AND OTHER DOCUMENTS FOR SUCH BONDS; APPROVING ONE OR MORE OFFICIAL STATEMENTS WITH RESPECT TO THE BONDS; PROVIDING PARAMETERS FOR ESTABLISHING THE PRINCIPAL AMOUNTS, MATURITIES, INTEREST RATES, PROVISIONS FOR REDEMPTION AND OTHER TERMS OF THE BONDS; APPOINTING THE CHAIRMAN AS THE REPRESENTATIVE OF THE COMMISSION TO APPROVE THE FINAL TERMS AND PRICING OF THE BONDS WITHIN SUCH PARAMETERS; AUTHORIZING THE EXECUTION OF ONE OR MORE BOND PURCHASE AGREEMENTS WITH RESPECT TO THE BONDS; APPOINTING TRUSTEES, REGISTRARS, PAYING AGENTS AND OTHER PERSONS OR ENTITIES RELATING TO THE ISSUANCE OF THE BONDS; AUTHORIZING AND DIRECTING THE EXECUTION, DELIVERY AND SALE OF SUCH BONDS; AUTHORIZING OTHER MATTERS, THE EXECUTION AND DELIVERY OF ALL OTHER DOCUMENTS, INSTRUMENTS, AGREEMENTS AND CERTIFICATES; AND AUTHORIZING THE TAKING OF ALL OTHER ACTIONS RELATING TO SUCH BONDS, REFUNDING AND PROJECTS AND THE FINANCING THEREOF.

The above-quoted title of the Ordinance describes generally the contents thereof and the purposes of the Bonds contemplated thereby. The Building Commission contemplates the issuance of the Bonds described in said Ordinance.

A certified copy of the Ordinance is on file with the Building Commission at the office of the Clerk of the County Commission for review by interested parties during regular office hours.

Following said public hearing, the Building Commission intends to vote on the adoption of said Ordinance upon final reading and to take such action as it deems proper.
